Terms of Service

By using the QuickContact.AI platform (“Provider,” “we,” “our,” or “us”), you (“Client,” “user,” or “you”) agree to the following Terms of Service.
1. Scope of Services
QuickContact.AI provides AI-powered customer service and lead management functionality, including but not limited to:
• AI response via voice, chat, SMS, and email.
• Lead qualification, custom quote delivery, and appointment setting.
• Support ticket creation, merchant inquiry handling, and account updates.
• CRM-integrated workflows without storing CRM data.
• Custom bot scripting and deployment.
Clients reserve the right to review and approve any changes to the scope of services prior to implementation.
QuickContact.AI will not modify or reconfigure any preexisting workflows or integrations owned by the Client without prior written approval.
2. Data Security & Compliance
2.1 Data Handling
All sensitive merchant data — including payment details, underwriting files, or transaction information — remains solely within the Client’s PCI-compliant CRM and systems. QuickContact.AI does not access or store this data.
2.2 No Payment Data Processing
QuickContact.AI does not process, transmit, or store cardholder data under any circumstances.
2.3 PCI DSS Scope Disclaimer
QuickContact.AI operates entirely out of PCI DSS scope in accordance with PCI Security Standards Council guidelines for third-party providers that do not store, process, or transmit cardholder data.
All sensitive data remains within the Client’s PCI-compliant environment. QuickContact.AI communicates exclusively through encrypted (TLS 1.2+) channels and only interacts with limited metadata accessible by authorized users.
2.4 Data Access Controls
Access to any CRM-connected data is restricted to authenticated enterprise users. QuickContact.AI does not have access to login credentials, card data, or merchant-sensitive data.
3. Fees & Payment
Payments are due monthly in advance. Late payments may incur a 1.5% monthly penalty or the maximum amount permitted by law.
QuickContact.AI reserves the right to adjust pricing with 30 days’ written notice.
4. Term & Termination
4.1 Term
This Agreement operates month-to-month, with a minimum three (3) month commitment.
Early termination by the Client without cause triggers an early termination fee equal to the remaining fees in the commitment period.
4.2 Termination for Cause
Either party may terminate the Agreement immediately upon a material breach if not cured within ten (10) business days of written notice.
5. Service Availability & Limitations of Liability
QuickContact.AI will make reasonable efforts to notify Clients of scheduled maintenance or known downtime at least 24 hours in advance and provide updates in real time for unscheduled outages where feasible.
QuickContact.AI makes commercially reasonable efforts to maintain 24/7 uptime but disclaims liability for downtime or interruptions related to updates, maintenance, third-party dependencies, internet outages, or other events beyond its control.
The Client acknowledges that outages may impact bot functionality or performance. QuickContact.AI shall not be liable for missed leads, business loss, or reputational harm resulting from such events.
6. Intellectual Property
All intellectual property, including source code, models, scripts, workflows, and documentation developed or used by QuickContact.AI, remains the exclusive property of QuickContact.AI.
No rights or licenses are granted other than those necessary for the intended use of the service.
7. Indemnification & Liability Limits
Each party agrees to indemnify and hold the other harmless from third-party claims arising from material breaches of this Agreement.
QuickContact.AI shall not be liable for indirect, incidental, special, punitive, or consequential damages.
The platform is provided “as is,” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.
Total liability under this Agreement is capped at one (1) month of paid subscription fees.
8. Confidentiality
Each party agrees to protect and maintain the confidentiality of non-public business and technical information and not disclose such information to unauthorized third parties.
9. HIPAA Addendum (If Applicable)
If the Client operates in a healthcare-related vertical:
• QuickContact.AI does not store PHI and is not a HIPAA Business Associate.
• The Client must configure workflows to comply with HIPAA.
• The Client indemnifies QuickContact.AI for all claims arising from misuse of PHI or unauthorized handling.
• QuickContact.AI disclaims liability for any non-compliant use in a HIPAA context.
10. Usage Limits, Monitoring, and Overage Fees
Each subscription includes defined usage limits (e.g., AI conversations, minutes, SMS messages, API calls, workflows).
QuickContact.AI may monitor usage and report activity to the Client via dashboard or email notifications.
If limits are exceeded, QuickContact.AI may:
(a) Automatically upgrade the Client to the next plan tier and bill accordingly;
(b) Apply overage fees based on current rates; or
(c) Apply additional usage-based charges for external integrations or features incurring direct costs.
All usage-based charges are final and non-refundable.
QuickContact.AI reserves the right to throttle or suspend access in cases of extreme overuse that threaten platform stability.
11. Miscellaneous / Governing Law & Dispute Resolution
This Agreement is governed by and construed under the laws of the State of Delaware, without regard to conflict-of-law principles.
All disputes shall be resolved through binding arbitration under the rules of the American Arbitration Association (AAA) in Wilmington, Delaware.
Judgment on the arbitration award may be entered in any court with proper jurisdiction.
